Your tasks
Act as the key functional representative and lead the Legal & Compliance team for Thailand, Myanmar, and Laos.
Legal
* Drafting, reviewing, and negotiating a wide range of national and multinational customer and supplier contracts, including transport, customs, warehousing, and logistics contracts, lease agreements, general direct and indirect purchasing contracts, and other operating agreements.
* Providing strategic advice on legal, general corporate, regulatory, administrative, risk management, and compliance matters to management and personnel.
* Assisting in developing, implementing, training, and monitoring relevant working procedures.
* Overseeing day-to-day responsibilities for advising on contractual issues, claims, and disputes to minimize exposure.
* Where necessary, engaging and managing external counsel for general legal, regulatory, and administrative matters and court proceedings in the country.
* Handling company secretarial and corporate registration matters.
* Monitoring relevant legislative procedures at country level.
* Acting as a primary contact point for the General Counsel Asia Pacific and Global Contract Management team (CoE).
Compliance
* Assisting in the development of a compliance management system, policies, procedures, and instruments.
* Supporting communication, implementation, and remediation to adjust and optimize compliance-relevant processes.
* Assisting in collecting and ensuring adequate compliance reporting.
* Providing advice on compliance-related matters.
* Assisting Cluster CEO with risk assessments according to the risk assessment process.
* Addressing local customer compliance requests.
* Promoting the whistleblower hotline and encouraging potential whistleblowers.
* Administering cases of local importance and steering investigations by external parties or DB Security, with coordination and consultation with local P&O functions.
* Informing local management and Regional Compliance Management about identified weaknesses and countermeasures.
Requirements
* At least 8-10 years of post-qualification experience, in private practice and/or as in-house counsel, handling maritime/litigation or corporate/commercial matters.
* A good university degree in law and preferably an Attorney at Law License.
* Prior work experience with an international law firm and/or an MNC with strong corporate presence in Thailand will be an advantage.
* Good knowledge on transport law, standard terms and international conventions.
* Experience in the transportation/logistics industry will be an advantage.
* Knowledge in claim and insurance will be an advantage.
* Able to travel upcountry with own transportation.
* Good knowledge in local and foreign Anti-Trust Law, Anti-Corruption, Code of Conduct and Integrity will be advantageous.
